HORIZONTE Partner Programme - Agreement

General conditions for participation

The Partner accepts and agrees, without limitation or qualification, all of the terms and conditions in this Agreement. Please read carefully before you complete your enrolment.

1) Obligations of HORIZONTE
HORIZONTE shall:
a)   provide the partner with the information to promote HORIZONTE German courses in the partner´s website;
b)   provide the Partner with password-protected access to a dedicated site containing statistics records.

2) Obligations of Partner
The Partner shall:
a)   Create and maintain links to HORIZONTE’s website, according the technical instruction.
b)   Not cede the content provided by HORIZONTE to third parties;
d)   Not promote any site or service through Pay Per Click by using the keywords “HORIZONTE”, and  variants of these words.

3) Transactions Subject to Commission or Compensation
HORIZONTE grants the Partner an interest in each sale of a German Courses originated in the partner webpages:

a) Minimum commission of 7% of the course fees. Height of your commission is stated seperately.
b) Commissions shall be paid quartely in the form of a direct deposit to the Partner's account or check as well.  Commissions are only then due, when the students' invoice has been fully paid, and are paid when the students have left the school (departure date). The commission set out in this clause shall be the sole compensation that the Partner is entitled to receive under this Agreement.

4) Duration of the Agreement
This agreement has an indeterminate duration. Either party may terminate this Agreement at any time for any or no reason upon fifteen days notice.

5) Miscellaneous
a) HORIZONTE grants the Partner a non-exclusive, revocable right to use the logos, trade names, trademarks and all other intellectual property and such other images of HORIZONTE for the purposes on this agreement.
b) HORIZONTE may vary any of the terms and conditions contained in this Agreement, at any time and in its sole discretion, by sending notice by e-mail to the partners.
c) you expressly agree that your participation in the HORIZONTE´s partner programme is at your own risk.in no event shall HORIZONTE, its employees, agents, attorneys consultants, or contractors be liable under this agreement for any consequential, special, lost profits, indirect or other damages, including but not limited to lost profits, loss of business, cost of cover whether based in contract, tort (including negligence) or otherwise, even if HORIZONTE has been expressly advised of the possibility of such damages and has ignored it.
d) This contract will be governed in accordance with the laws of Germany, and both parties accept any ruling dictated by this law. The HORIZONTE legal domicile is Regensburg.
